Job Description

This is a full-time position for a Company Secretary & Head of Legal Compliance at one of our client companies. The role includes managing all company secretarial functions, overseeing legal compliance, ensuring adherence to governance standards, and providing legal advice and support to the organization.

Qualifications:
• Company Secretary (CS) certification + LLB (3 years) or
• Degree in Law (5 years), Business Administration, or a related field

Essential/Key Responsibilities:

Legal Compliance: Ensure the company’s compliance with all applicable laws and regulations, including labor codes, corporate laws, and other statutory requirements.

Contract Drafting: Draft, review, and negotiate various types of contracts and agreements to safeguard the company’s interests.

Corporate Governance: Oversee and ensure adherence to corporate governance standards and practices, including board meetings, shareholder meetings, and filings.

Litigation Management: Handle and manage all litigation matters, including civil and criminal cases, to ensure timely resolution and minimal risk to the company.

Regulatory Compliance: Maintain up-to-date knowledge of regulatory requirements and implement processes to ensure compliance with all legal obligations.

Policy Development: Develop and maintain internal policies to ensure compliance with legal and regulatory standards.

Risk Management: Identify potential legal risks and provide proactive advice to mitigate these risks.

Operational Duties:
• Prepare and file necessary legal documents and ensure timely filings with relevant authorities.
• Assist in the preparation and management of legal documents, such as minutes of meetings, resolutions, and statutory registers.
• Coordinate with external legal counsel on various legal matters, as necessary.
• Conduct legal research and provide analysis to support decision-making.
• Liaise with government agencies, regulators, and other external bodies on legal and compliance matters.
• Support various departments in legal matters, providing advice and guidance as required.

Required Work Experience & Knowledge:
• 2 to 5 years of Proven expertise in Legal Compliance, Corporate Governance, and Company Secretarial practices.
• Strong knowledge of contract drafting, legal compliance, labor codes, civil and criminal acts, corporate laws, and litigation.
• Prior corporate experience is an advantage.
• Experience in offering legal advice and support across various functions
• In-depth understanding of regulatory requirements and compliance frameworks
• Exceptional organizational and multitasking abilities
• Strong attention to detail, with excellent analytical and problem-solving skills
• Effective communication and interpersonal skills for collaborating with diverse teams and stakeholders
