Position Overview: We are seeking a skilled and experienced Corporate Lawyer to join our legal team. The ideal candidate will provide comprehensive legal services to our company, handling all aspects of corporate law, including mergers and acquisitions, compliance, intellectual property, contracts, and litigation. This role requires a deep understanding of corporate governance, regulatory frameworks, and the ability to offer strategic legal advice to support our business objectives.
Key Responsibilities
• Legal Advisory and Compliance:
• Provide legal counsel to senior management and other departments on a wide range of corporate matters.
• Ensure the company's compliance with all applicable laws and regulations, including corporate governance, securities laws, and other statutory requirements.
• Advise on legal implications of company policies and procedures.
• Contracts and Transactions:
• Draft, review, and negotiate a variety of legal documents, including contracts, agreements, and licenses.
• Oversee and manage mergers, acquisitions, joint ventures, and other corporate transactions.
• Conduct due diligence and assess potential legal risks associated with business transactions.
• Litigation and Dispute Resolution:
• Represent the company in legal proceedings, including litigation, arbitration, and mediation.
• Manage relationships with external legal counsel and coordinate defense strategies.
• Handle disputes and resolve conflicts in a manner that protects the company's interests.
• Intellectual Property:
• Oversee the protection and enforcement of the company's intellectual property rights, including trademarks, copyrights, and patents.
• Advise on IP-related issues and work with relevant departments to ensure compliance with IP laws.

• Assist in the preparation and review of board materials, including minutes and resolutions.
• Provide guidance on shareholder relations and corporate governance practices.
• Ensure proper record-keeping and documentation of corporate activities.
• Regulatory and Risk Management:
• Monitor changes in relevant legislation and regulatory environments and advise on their impact on the company.
• Develop and implement policies and procedures to mitigate legal risks.
• Conduct internal audits and compliance checks.
Qualifications
• Related degree from an accredited law school.
• Admission to the state bar and in good standing.
• Minimum of [X] years of experience in corporate law, preferably within a corporate legal department or a reputable law firm.
