About the Role

We are hiring an experienced and highly skilled
Corporate Lawyer
to join our legal team. The ideal candidate will have strong expertise in corporate laws, contract drafting, compliance, advisory, and dispute management. You will work closely with internal teams and external stakeholders to ensure the company's legal interests are protected and business objectives are achieved effectively.

Key Responsibilities
• Draft, review, and negotiate a wide range of commercial agreements, including service agreements, vendor contracts, NDAs, MoUs, partnership agreements, employment contracts, and licensing agreements.
• Provide legal advisory to management on corporate governance, regulatory compliance, and business operations.
• Handle company secretarial work such as board resolutions, minutes, and statutory records (if required/optional based on company).
• Ensure compliance with applicable laws including Companies Act, labour laws, data protection regulations, and sector-specific regulations.
• Manage due diligence for mergers, acquisitions, investments, and other corporate transactions.
• Handle legal notices, reply drafting, and coordinate with external counsels for litigation matters when necessary.
• Conduct risk assessments and provide preventive legal guidance to internal teams.
• Draft policies, SOPs, and internal guidelines from a legal standpoint.
• Represent the company in negotiations and discussions with clients, partners, and regulatory bodies.
• Stay updated with changes in corporate, commercial, and regulatory laws relevant to the business.

Required Skills & Qualifications
• Bachelor's or Master's degree in Law (LLB/LLM) from a recognized university.
• Minimum 5 years of corporate legal experience
in a law firm or corporate legal department.
• Strong expertise in
corporate law, contract drafting, compliance management, and commercial advisory
.
• Excellent knowledge of Companies Act, contract law, commercial laws, IP laws (basic level), labour laws, and arbitration procedures.
• Proven experience in handling due diligence, negotiations, and corporate transactions.
• Ability to manage multiple assignments simultaneously with strong attention to detail.
• Strong research skills with the ability to interpret complex legal documents.
• Proficiency in maintaining legal documentation and drafting reports.
• Must have excellent verbal and written communication skills
.
• Strong negotiation, analytical, and problem-solving abilities.
• High level of integrity, professionalism, and confidentiality.
