Job Title: Corporate Counsel

Location: Ahmedabad

Reports to: General Counsel & Chief Compliance Officer



Position Overview:

We are seeking a highly motivated and detail-oriented Corporate Counsel to join our in-house legal team. This position will focus on supporting our corporate contracting, legal operations, compliance, and data privacy and governance needs. The ideal candidate will have a strong attention to detail, a proactive approach to problem-solving, and will work closely with various business teams to ensure that the company’s legal operations are efficient, compliant, and aligned with business objectives.



Key Responsibilities:

Corporate Contracting:
Draft, review, and negotiate a wide range of commercial contracts, including client agreements, vendor agreements, licensing agreements, non-disclosure agreements (NDAs), and business associate agreements.
Collaborate with internal stakeholders, including sales and business operations, to provide legal guidance on contractual terms, risk mitigation, and compliance.
Ensure that contracts are in line with company policies, legal requirements, and business objectives.
Maintain and organize contract databases, ensuring accessibility and compliance with legal and business requirements.
2. Data Privacy and Governance:

Assist with the company’s data privacy and protection initiatives, including compliance with relevant data privacy laws such as HIPAA, and applicable global regulations.
Support the implementation of data governance and privacy policies and procedures to ensure compliance and risk management.
Compliance:
Assist in the development, implementation, and maintenance of the company’s compliance programs, including policies, procedures, and internal controls.
Assist in ensuring compliance with applicable laws, regulations, and industry standards, including those related to the company’s operations in India.
4. Legal Operations:

Assist in the management of legal operations, including developing and maintaining processes for managing legal workflows, contracts, and legal matters.
Support the legal team in automating routine legal tasks and streamlining internal processes to improve efficiency and effectiveness.
Coordinate with internal and external counsel to ensure timely and accurate resolution of legal matters.
Assist in the preparation and management of legal budgets and track legal expenditures.
General Corporate Law:
Assist in corporate governance matters, including preparation of board materials, minutes, and resolutions.
Conduct legal research and stay updated on regulatory developments and industry trends affecting the company’s operations.
Support the legal team on other corporate matters as needed.


Qualifications:

Education:
Juris Doctor (JD) degree from an accredited law school.
Licensed to practice law in India.
Experience:
Rich experience in corporate law, healthcare practice preferred, with a focus on corporate contracting, legal operations, compliance, and data privacy/governance.
In-house experience is a plus but not required.
Familiarity with U.S. regulations, including HIPAA and other data privacy laws is highly desirable.
Experience with healthcare corporate compliance programs and regulations is a plus.
Skills and Competencies:
Strong drafting skills, with attention to detail.
Ability to communicate legal issues clearly and effectively to non-legal stakeholders.
Solid understanding of legal operations and the ability to streamline processes.
Knowledge of data privacy laws, corporate compliance, and best practices for governance.
Strong organizational skills with the ability to manage multiple projects simultaneously.
Proficiency with contract management software and other legal tools.
Ability to work independently as well as part of a collaborative team.
