GMR Enterprises Pvt Ltd Associate Manager - Legal GMR Enterprises Pvt Ltd • New Delhi, Delhi • via GMR Careers - GMR Group 4 days ago Full–time Apply on GMR Careers - GMR Group Apply on Expertini | India Jobs Expertini Apply on Jobrapido.com Job description JOB PURPOSE The position purports to be a dependable resource in the legal department and shall be responsible for leading the legal teams interactions with business verticals Commercial Non Aero, P&C and P&E ( in particular) in a timely and efficient manner, handle all of their transactions and issues, give proper legal advice for tenable and sustainable structuring/ modeling to the transactions and issues as well as for various issues connected with concessionaires/ Joint Ventures such as Cargo, Ground handling, Fuel Farm, BME, F&B, etc. the Airlines, the Vendors. The incumbent will be responsible for providing legal support to the business team to mitigate legal risks. Position will be responsible for providing legal support for various Aero and Non Aero projects, new airport bidding (international/domestic) coordinate with Bidding team, equity linked transactions (acquisitions, mergers, stake sale, transaction structuring and contract management. The candidate must have experience of tendering process, vetting of tender documents, RFP, RFQ, agreements and finance documents. ORGANISATION CHART Associate Manager - Legal will report to ----> Senior Lead Counsel KEY ACCOUNTABILITIES Accountabilities Key Performance Indicators Providing legal assistance to BD related activities viz. new biddings (including RFPs, RFQs and Concession Agreements) for International/domestic Airports Timely closure of transactions. Provide assistance in high stake transactions in airport sector including fund raising, due diligence, mergers, acquisitions, restructuring, divesture, stake sale etc. and drafting, negotiation and finalization of term sheets, agreements and contracts in this behalf Timely closure of transactions. Drafting and vetting of MOU, NDA, MSA, Lease Deed, Leave and License Agreement, Licence Agreement and other commercial agreements. Timely closure of transactions. Compliance Work, NBFC, CIC and RBI Compliances. Timely closure of transactions. Due diligence of project documents, drafting of legal opinion and other related transactional documents. Timely closure of transactions. EXTERNAL INTERACTIONS Interaction with external counsels Discussion and negotiation with counter parties INTERNAL INTERACTIONS Discussing the strategy with user team for structuring any transaction etc. Helping the user teams negotiating any transactions FINANCIAL DIMENSIONS OTHER DIMENSIONS Working in team of about 2 members including outside counsels EDUCATION QUALIFICATIONS • LL.B with 5-8 years post qualification experience as in house lawyer and/or in law firms. • Additional qualification of CS would be an added advantage. RELEVANT EXPERIENCE 5-8 years of experience in contracts and corporate laws Experience in handling funding/financial transactions, equity transactions including joint venture agreement, share purchase agreement etc. , bidding, infrastructure project documents, EPC, advisory agreements and other commercial contracts (and not litigation focussed).
