Job Description:
We are seeking a skilled and experienced Legal Counsel to join our dynamic team. The ideal candidate will provide comprehensive legal support across various functions of the company, with a strong focus on contract management, regulatory compliance, intellectual property protection, and legal guidance on emerging technologies, including Artificial Intelligence (AI). The role also involves providing support on employee onboarding, document verification, and ensuring robust compliance with copyright and trademark laws.
Key Responsibilities:
Contract Management:
1- Draft, review, and negotiate a wide range of contracts, including service agreements, software licenses, partnership agreements, non-disclosure agreements, and product licensing agreements to protect the company’s interests.
2-Drive negotiations on AI-related terms in vendor and client contracts, ensuring compliance with relevant legal standards and safeguarding the company's position.
3-Review technical and legal aspects of service or product agreements and negotiate terms with clients, vendors, or partners.
Regulatory Compliance:
1-Ensure the company adheres to all applicable Indian laws and regulations, including the Information Technology Act, 2000, data protection regulations, cybersecurity laws, and intellectual property laws.
2-Monitor legislative changes and advise management on necessary actions to maintain compliance.
3-Provide guidance to business teams regarding compliance requirements around the use of AI technology.
Intellectual Property Protection:
1-Manage and protect the company’s intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets.
2-Oversee the IP registration process with the relevant authorities in India and conduct risk assessments for proprietary product/platform development.
3-Draft and review cease and desist notices and other communications related to IP infringement.
Data Privacy:
1-Provide legal guidance on data privacy laws such as the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.
2-Ensure the company’s data processing activities comply with applicable regulations and develop practical frameworks for handling security incidents.
Litigation and Dispute Resolution:
1-Manage legal disputes and litigation, coordinating with external legal counsel as required.
2-Represent the company in legal proceedings, negotiations, and dispute resolution processes.
Policy Development and Corporate Governance:
1-Develop, implement, and maintain internal policies and procedures to ensure compliance with legal standards and best practices.
2-Assist in corporate governance matters, including preparing for board meetings, drafting resolutions, and ensuring compliance with the Companies Act, 2013, and other applicable regulations.
Legal Research and Emerging Technologies:
1-Conduct legal research on emerging technology areas, including AI, to enhance awareness and update contractual positions.
2-Support technology teams with open source compliance processes and develop IP and AI materials for organizational awareness.
Employee Onboarding and Document Verification:
1-Support employee onboarding processes, including document verification and compliance checks.
2-Ensure that all employment contracts and related documents comply with relevant labor laws and regulations.
Expertise in Copyright and Trademark:
1-Provide expert advice on copyright and trademark issues, including registration, enforcement, and dispute resolution.
2-Handle online legal issues related to intermediary liability, web crawling, online brand abuse, crowdsourcing, jurisdiction challenges, domain name squatting, phishing, and IP leakage enforcement.
Location- 605, IT Tower 1, Infocity, Gandhinagar, Gujarat.
