Our organization

The Alberta Securities Commission is the industry-funded regulator responsible for administering the province's securities laws. It is entrusted with fostering a fair and efficient capital market in Alberta and protecting investors. As a member of the Canadian Securities Administrators (CSA), the ASC works to improve, coordinate and harmonize the regulation of Canada's capital markets.

The Office of the General Counsel (OGC) is an in-house legal, policy, strategy and risk management resource for the ASC. The OGC provides legal advice on a range of areas including statutory interpretation, administrative law, securities regulation, corporate/commercial law, information technology/intellectual property law, procurement law and privacy law. In addition, the OGC provides advice on freedom of information access requests and corporate governance matters. Both the legislative and Corporate Secretarial functions are housed within the OGC.

The opportunity

Reporting to the General Counsel, the successful candidate will be part of the OGC team providing legal advice to the Chair & CEO, Commission Members, Executive Director, management and ASC employees on a wide range of issues, including the application of corporate, securities, administrative and privacy law.

Key responsibilities include
• Providing advice and drafting documents related to a variety of topics with respect to the application and interpretation of securities legislation, legislative requirements for public agencies in Alberta, corporate and commercial law, novel issues confronting the capital markets, and administrative law.
• Participating in corporate governance-related policy initiatives within the CSA, consider implications for internal ASC governance, and assisting with the development of internal policies and governance frameworks.
• Providing legal services support to operational divisions on procurement matters and contract law.
• Assisting colleagues in the Corporate Finance, Market Regulation and Enforcement divisions with the evaluation of the appropriate regulatory response to compliance contraventions, confidentiality issues and complaints.
• Providing legal support in connection with ASC and CSA policy development, including research, analysis and advice on various statutory interpretation and legal authority questions.
• Providing legal services regarding any of the of the matters for which the OGC is responsible.
• Providing support to the General Counsel and the Corporate Secretary as required.

The ideal candidate will possess
• A law degree and a minimum of seven years of relevant legal experience, with exposure to securities law and governance matters.
• Membership in good standing (or be eligible for membership) with the Law Society of Alberta.
• Knowledge of and experience with securities legislation in Alberta.
• Knowledge of corporate governance requirements, principles and topical issues.
• Significant knowledge in corporate and commercial law with experience negotiating various contracts.
• The ability to negotiate and advocate a position while working collaboratively with others.
• Strong up-to-date research skills, and highly developed analytical and problem-solving skills.
• Excellent verbal and written presentation skills.
• The ability to balance competing priorities and exercise excellent judgement.
• Experience in a regulatory environment and the financial technology sector would also be beneficial.
