We are currently looking for a Paralegal to join our team

What you can expect in this role:


We are seeking a resourceful, proactive and highly organized paralegal to join our global legal team. Fully bilingual (English and French), the Paralegal provides legal support in all stages of corporate transactions, handles the repository of contracts and other documents, assists in the coordination of legal matters, and supports the day-to-day legal and compliance functions of the Company. The Paralegal must maintain a sense of initiative, diligence, and organization, as well as a team-player mindset. This is a great opportunity for an entrepreneurial individual to have an impact in the formation and growth of the company. The position is based at the Company's Brossard office (Montreal area), with a hybrid work arrangement.


More specifically, here are some of the key responsibilities:

Document Management and Legal Support:
Ensure the classification and management of various document management systems, including contracts, legal and corporate files, lease agreements, etc.
Assist in preparing, reviewing, and managing legal documents, contracts, and corporate governance materials.
Legal Research and Compliance:
Conduct legal research to support corporate transactions and compliance matters.
Assist in ensuring compliance with regulatory requirements and maintaining up-to-date knowledge of relevant laws and regulations.
Contract Administration:
Support the creation and administration of contracts and contract templates for various stakeholders.
Assist in reviewing and updating contract templates to ensure compliance with legal standards.
Corporate Transactions Support:
Assist with the preparation and closing of various corporate transactions, including documentation for annual filings, amendments, withdrawals, incorporation, mergers, and dissolutions of corporations.
Support the preparation of documents for mergers and acquisitions, acquisitions of land, royalty arrangements, etc.
Board of Directors Support:
Support various processes related to managing the Board of Directors, such as ensuring the accuracy and integrity of meeting agendas, the timely delivery of meeting materials, drafting standard form resolutions, preparing meeting minutes, and maintaining up-to-date records of board members and committee composition.
Regulatory Filings:
Assist with the preparation of reports and documentation to be filed on SEDAR, SEDI, EDGAR, as well as with filings required with Canadian and US regulators.
Assist in tracking provincial and federal lobbying efforts and making reports to applicable regulators.
All Other Related Tasks:
Perform other legal administrative duties as required.

Here's the profile we're looking for:

10 years of experience in a legal environment, supporting senior executives and managing complex projects.
Diploma of College Studies (DEC) in Paralegal Technology.
Strong understanding of corporate and legal operations.
Exceptional organizational and time management skills, with the ability to handle confidential matters with discretion.
Proficiency in legal technology tools, contract management systems, and project management software.
Excellent written and verbal communication skills, in French and English, with the ability to interface at all levels of the organization.
High level of adaptability, problem-solving skills, and the ability to drive initiatives with minimal supervision.
