RESPONSIBILITIES

Our client is a Singapore-based power generator and electricity retailer. They are the first energy retailer in Singapore which offers its B2B and B2C clients energy solutions that integrate both solar power and electricity generated from natural gas. The company also develops and operates a gas turbine power plant which uses liquid natural gas (LNG) as its primary fuel.

Job Summary:

Our client is seeking a Legal Counsel who will be responsible for managing all legal issues related to the company, including negotiation of contractual terms, dispute resolution issues, administration of standard contract templates, staff training and occasional corporate secretarial duties.

Responsibilities:

Legal and contract management
• Experience in commercial contracts and financing documents
• Develop and maintain standard contract templates to support the business operations of the company
• Review and negotiate contractual clauses
• Review and comment on financing documents and accordingly liaise with Lenders’ Counsel
• Monitor and ensure compliance with project financing covenants
• Provide legal opinions to senior management on the impact of key clauses in the contracts
• Keep abreast of the legal framework in Singapore, particularly legal developments that affect the energy industry in Singapore, and ensure compliance with relevant laws and regulations
• Ensure the implementation of a robust contract management system
• Participate in settlement discussions during the dispute resolution process with vendors

Governance
• Assist the Board in legal issues and advise on governance matters

External
• Liaise with external law firms where necessary

Internal
• Develop basic legal skills and knowledge of staff through trainings to foster a culture of consulting counsel where legal concerns arise
• Work closely with Finance, Portfolio Management, Fuel Management and Retail team in legal matters.
• Rendering of advice on compliance with statutory law, government directions and legal aspects of consultation papers.

Requirements:
• A Bachelor’s Degree in law with 6 to 10 years of working experience.
• Excellent written and oral communication skills, as well as strong interpersonal and negotiation skills with a commercial approach to handle legal issues.
• Meticulous and analytical mind with strong initiative as well as the ability to multi-task, organize and prioritize work with minimum supervision to meet tight deadlines.
• 3 to 5 years of experience in competitive business environment especially on commercial, regulatory and financing document.
• The incumbent should be action oriented and innovative and must be able to translate broad goals into achievable steps.
• Be able to anticipate and solve problems and take advantage of opportunities, is a self- starter and team player.
• A high level of personal skills is required to make formal, persuasive presentations to groups and deal effectively with people from all segments.
• Must be comfortable with diversity and respectful of a wide range of faiths, beliefs and experiences.
• Must consistently display integrity, model behavior, develops people and build teams and be able to deal effectively with demanding situations and designs and implements interventions.
• Must be able to manage continuity, change and transition and address the impact of attitude and action.
