Job Description
We are partnering with a highly regarded, mid-sized law firm in Miami that is continuing to build out its corporate securities practice. You'll be supporting the practice group leader on major client relationships from day one and you'll act as the go-to attorney across capital markets transactions and public company advisory.
What You’ll Be Doing
• Advising public companies and underwriters on equity and debt offerings under the Securities Act of 1933
• Leading execution of IPOs, follow-ons, and Rule 144A private placements
• Managing SEC reporting obligations, including drafting and reviewing:
• 10-Ks, 10-Qs, 8-Ks
• Proxy statements
• Counseling clients on NYSE/Nasdaq listing requirements and ongoing corporate governance matters
• Running substantial workstreams independently for key institutional clients
• Acting as a trusted extension of the Practice Group Leader on high-value engagements
What We’re Looking For
• 8–12 years’ experience in corporate securities / capital markets law
• Strong track record advising on offerings under the Securities Act of 1933 and reporting under the Securities Exchange Act of 1934
• Deep expertise in SEC disclosure, public company reporting, and stock exchange rules
• Florida Bar admission (or eligibility to waive in)
• Background at a major law firm strongly preferred
• Commercially minded, detail-oriented, and comfortable operating with autonomy
