Job Description

Our client is seeking a highly experienced and accomplished Senior Corporate Counsel with a specialization in commercial transactions to join their esteemed legal department in **Surat, Gujarat, IN**. This critical role will involve advising on a wide range of commercial agreements, strategic partnerships, and business transactions. The ideal candidate will possess extensive experience in drafting, negotiating, and managing complex contracts, ensuring legal compliance and mitigating risk for the organization.

Key responsibilities include: Drafting, reviewing, and negotiating a variety of commercial agreements, including vendor agreements, service agreements, licensing agreements, partnership agreements, and NDAs. Advising business units on legal aspects of commercial transactions and strategic initiatives. Providing counsel on corporate governance matters and regulatory compliance. Managing and mitigating legal risks associated with business operations and contractual relationships. Conducting legal research and analysis on relevant statutes, regulations, and case law. Collaborating with internal stakeholders, including business development, sales, and finance teams, to support commercial objectives. Assisting with mergers, acquisitions, and other corporate restructuring activities as needed. Developing and implementing internal legal policies and procedures. Overseeing and managing outside counsel engaged on specific matters. Staying current with legal developments impacting the company's industry and operations.
The successful candidate must be a licensed attorney in good standing with a minimum of 8 years of relevant legal experience, with a strong emphasis on commercial contracts and corporate law, preferably gained at a reputable law firm or in-house at a major corporation. A Juris Doctor (JD) or equivalent degree from an accredited law school is required. Proven expertise in complex contract negotiation and a thorough understanding of contract law principles are essential. Excellent analytical, problem-solving, and communication skills are critical. The ability to work independently, manage multiple priorities, and provide pragmatic legal advice is highly valued.
