Role Overview: As a Senior Counsel for Technology and Managed Services, you will play a crucial role in delivering legal support and guidance on complex agreements related to managed services and technology solutions. Your expertise will ensure that EY provides exceptional service to clients while managing legal risks effectively.
Your Key Responsibilities:
• Draft, update, and negotiate client-facing Technology & Managed Services Agreements, ensuring contractual strategies align with legal standards and risks.
• Provide comprehensive legal advice on technology-related risks associated with Managed Services Agreements.
• Collaborate with various EY teams including local counsel and different departments for thorough support on projects.
• Coordinate legal resources effectively across managed services projects.
• Work closely with cross-functional teams, including Data Privacy, Talent, Information Security, and Tax, to ensure effective contract development.
• Assess and advise on contractual documentation to safeguard EY's interests.
• Stay updated on existing EY policies and develop enhancements related to technology services and products.
• Manage workflow efficiently in a dynamic environment, ensuring open communication and accountability.
• Foster strong relationships within the General Counsel's Office and across the EY network to deliver outstanding service.
• Design and conduct training sessions on Technology & Managed Services Agreements for stakeholders.
Qualifications:
• 6+ years of experience in complex services and technology-related transactions, particularly in negotiating Technology & Managed Services Agreements.
• Proven ability to negotiate with internal counsel and external partners.
• Strong background in developing contracting templates and maintaining high standards.
• Understanding of data privacy, intellectual property law, and the implications of technology usage in service agreements.
• Experience in cross-border contracting, especially relating to employee matters and data transfer laws.
• Ability to assess and negotiate terms for emerging technologies including cloud and AI, articulating legal and business risks clearly.
• Excellent communication, negotiation, and interpersonal skills.
• Demonstrated cultural intelligence and resilience in changing work environments.
• Capable of working independently as well as part of a collaborative team.
• Strong analytical skills to articulate complex legal principles while balancing risk.
• Proven track record of managing high workloads and adjusting to shifting priorities efficiently.
• Client-focused with a solution-oriented mindset.
• Experience in managed services within technology or consulting sectors, including negotiation leadership.
• A Juris Doctor degree from an accredited law school and state bar membership in good standing.
