• Assistant - Corporate Secretarial and Legal

Location: Mumbai

Vacancy type: Permanent
• Job Responsibility

∙Taking dictation from CFO/Director.

∙Drafting letters for all departments and finalizing them after approval.

∙Self-correspondence.

∙Drafting of legal documents
- Agreements such as L&L Agreements, Sale/Purchase Agreements, Loan

Agreements, LLP Agreements, etc.

Will, Affidavit, Power of Attorney, Indemnity Bond, Partition Deed, Trust Deed, etc.

∙Drafting Board Resolutions and approval finalizing the same.

∙Prepare draft Board/AGM Minutes for all companies under HPL Group and finalize it after

approval.

∙Keeping the Attendance Registers and Minute Books duly signed by the concerned

Directors.

∙Managing Statutory Registers of all companies under HPL Group.

∙Share transfer/share transmission-related work.

∙Drafting appointment letters, contract letters, purchase orders, work orders, invoices, etc.

∙Compliance-related work:
Preparation of Directors Disclosures - MBP-1 and DIR-8 (Updated) every year on

1st April and send it to the companies, where our Group Directors are also the

Directors of other companies.

Preparation and filing of Director KYC (DIR-3 KYC) every year well before

September end.

Arranging to file AOC-4/AOC-4 CFS (Accounts), MGT-7 & 7A (Annual Returns).

Arranging to file ADT-1 (Appointment and/or re-appointment of Auditors) and DIR
- 12 (Change in Directorship).

Filing and keeping physical files with the papers related to compliance-related

work.

∙Any other work as and when required by the Management.

• ∙Fluent spoken and excellent written English

∙Proficiency in Microsoft Office, particularly Word, Excel, and PowerPoint, is required, as is

familiarity with legal documentation.

∙Graduates having 2-3 years of experience.

∙Semi-Qualified Company Secretary (CS) with 0 to 2 years of experience can also apply.
• Salary: ₹20,000.00 - ₹25,000.00 per month
