Job Description
• Manage the creation and review of consolidated financial statements monthly, quarterly, and annually for US and India entities, adhering to US GAAP standards. This includes balance sheets, income statements, cash flow statements, related disclosures, and identifying GAAP differences.
• nvestigate and interpret US GAAP accounting standards, including ASC topics. Assess complex accounting transactions to determine the correct accounting treatment under US GAAP for the US and IGAAP for India. Prepare technical accounting memos and documentation to support accounting conclusions and positions, considering relevant accounting literature and guidance.
• i) Engage in due diligence activities for potential transactions (focused on integration, not evaluation) ii) Understand all terms and conditions of purchase agreements and ensure smooth integration iii) Identify and address potential integration challenges iv) Handle Purchase Price Accounting for stock and asset acquisitions and coordinate with valuers for intangible valuations vii) Prepare opening and closing balance sheets with fair value adjustments.
• i) Provide accurate and current financial statements, including balance sheets, income statements, and cash flow statements, to lenders, offering a comprehensive view of the company's financial status and performance ii) Ensure compliance with loan agreement terms, including financial ratios, debt service coverage ratios, and other covenants to avoid penalties or default iii) Calculate and report key financial ratios and performance metrics such as leverage ratios, liquidity ratios, lender-adjusted EBITDA, and other profitability ratios iv) Submit required regulatory or compliance reports to lenders or authorities, ensuring adherence to legal and regulatory requirements.
• Collaborate with tax advisors to ensure compliance with federal, state, and local tax regulations in the USA and direct and indirect taxation in India, including preparing and filing tax returns and implementing tax planning strategies. Knowledge of transfer pricing mechanisms in BPO/GCC contexts is crucial. Advanced international tax structuring strategies are beneficial but not essential.
• Act as the primary contact with external auditors during the annual audit process, ensuring timely completion of audit requirements, addressing audit inquiries, and implementing audit recommendations. This includes statutory and tax audits for both the US and India.
• Oversee cash flow, liquidity, and working capital to optimize financial resources and support operational needs, including monitoring banking activities, investments, and credit facilities. Understand and experience in international remittances, banking processes in India and the US, and relevant regulations like FEMA/RBI.
• Develop, maintain, and enhance financial policies, procedures, and accounting manuals to ensure consistency, transparency, and compliance with US GAAP standards and regulatory requirements.
• Support the ERP implementation project and ensure smooth operations throughout the implementation period and beyond.
• Recruit, develop, motivate, and retain a high-performing and satisfied team.
• Assist in sell-side due diligence to support the exit for private equity investors
The Successful Applicant
A successful VP - Finance should have:
• Chartered Accountant or CPA/ ACCA with 12-20 years of PQE
• Ability to work in a fast paced and dynamic environment
• Majority of experience in a KPO or GCC environment.
• Willingness to work a shift timing, starting the day at 2 PM and extending till midnight. This is critical
• Impeccable experience in USGAAP, IFRS, IGAAP, Operational Accounting, Payroll and PE/M&A interfacing
