Position Overview:
We are looking for a proactive and detail-oriented Junior Corporate Secretary / Associate Company Secretary to join our legal and secretarial team. This role offers an exciting opportunity to work in a fast-paced, entrepreneurial environment, supporting regulatory compliance, board governance, and corporate legal functions for one of India's fastest-growing renewable energy companies.
Key Responsibilities:
- Assist in drafting and maintaining corporate records, statutory registers, and regulatory filings.
- Support board meetings including preparation of agendas, minutes, resolutions, and reports.
- Manage filings with the Ministry of Corporate Affairs (MCA), SEBI, and other statutory authorities.
- Monitor compliance with Companies Act, FEMA, and applicable renewable energy regulations.
- Assist in drafting legal agreements, vendor contracts, NDAs, and MoUs.
- Conduct legal research and track regulatory updates relevant to energy, infrastructure, and corporate laws.
- Support project documentation including EPC, PPA, and financing agreements.
- Coordinate with internal teams, external legal advisors, and government agencies on statutory matters.
- Assist with corporate actions such as formation of SPVs, investment approvals, share allotments, etc.
- Prepare and review compliance certificates, declarations, and periodic secretarial reports.
- Support in investor-related compliance and due diligence processes.
- Maintain confidentiality of sensitive documents and information.
- Handle correspondence with ROC, Stock Exchanges (if applicable), and other regulators.
- Facilitate onboarding and orientation for new board members and KMPs.
Preferred Qualifications & Skills:
- Qualified Company Secretary (CS) with Bachelor's Degree in Law (LLB preferred).
- 2-4 years of relevant corporate secretarial experience, preferably in renewable energy, infrastructure, or EPC industries.
- Sound knowledge of Companies Act, SEBI LODR, FEMA, and related corporate laws.
- Proficiency in MCA21 portal, legal documentation, and board governance.
- Strong communication skills (written & verbal) in English.
- Well-versed with MS Office, legal databases, and document management tools.
- Ability to multi-task and work independently with high attention to detail.
- Positive attitude, solution-oriented mindset, and high professional integrity.
- Exposure to renewable energy sector transactions (like EPC, PPA, O&M contracts) is an advantage.
